Non-Funded Agreements

There are a number of research-related agreements that PIs and department staff may encounter. These types of agreements may or may not include transactions of research funds. Please contact your relevant post-award research administrator for support in review and approval of these types of agreements.

Memorandum of Understanding (MOU)

MOUs are agreements between two or more entities who intend to collaborate on activities. Some common collaborative activities outlined in MOUs include: faculty and student exchange, proposal collaborations, visiting scholars, and professional training activities. MOUs typically outline activities that mutually benefit all parties to the MOU.

Data Use Agreement (DUA)

DUAs are used when non-public data is transferred between research entities or researchers. DUAs typically contain provisions that establish the use of the data set, identify who will receive the data, and require safeguards to prevent unauthorized use or disclosure. 

Material Transfer Agreement (MTA)

MTAs are contractual agreements focused on the transfer of biological and/or other research materials that are developed by a nonprofit, government or private industry. UVA OSP staff should negotiate MTA content related to publications, use of research, and ownership of technology generated by the research to ensure the MTA does not 

Non-Disclosure Agreement (NDA)

NDAs are agreements between two parties that anticipate sharing confidential information, materials, or data for a particular purpose. These agreements are typically signed during proposal collaboration between two research entities or researchers who plan on sponsored research collaboration. NDAs are also known as confidential disclosure agreements (CDA) or proprietary information agreements (PIA). 

Teaming Agreement (TA)

Teaming agreements describe obligations and rights between two parties (for example, two universities) who are collaborating on a proposal submission. 

Service Agreement

A service agreement is implemented when the primary purpose of an agreement is to outline specific services provided for a fee. Contact your research administrator to determine whether or not a service agreement is an appropriate mechanism for your programmatic needs.

Intergovernmental Personnel Act Agreement (IPA)

The Intergovernmental Personnel Act allows for the temporary assignment of personnel between the Federal Government and state/local governments, colleges and universities, federally supported research and development centers, and other eligible organizations. IPA Agreements typically contain a time limited period of support and clarification on salary and benefits payments. IPAs must be reviewed by the A&S research administration and development team.
